1. DEFINITIONS AND INTERPRETATION
In these Terms and Conditions, the following expressions shall have the meanings set out below unless the context otherwise requires:
“MDPL” / “Company” / “We” / “Us” / “Our” means Mahaveera Drugs and Pharmaceutical Laboratories, operating the Platform at www.mdpl.co.in and engaged in the manufacture, marketing, and sale of nutraceutical, pharmaceutical, and wellness products.
“Kay Cee Chemists” means the proprietorship firm bearing, appointed as the sole and exclusive authorised distributor and Carrying and Forwarding Agent (CFA) of MDPL pursuant to the Distribution Authority Agreement.
“Platform” / “Website” means the website at www.mdpl.co.in and all sub-domains, mobile-optimised versions, and digital interfaces operated by MDPL.
“User” / “You” / “Your” means any person or entity that accesses, browses, registers on, or transacts through the Platform, including Consumers, Retailers, Affiliates, Doctors, and Bulk Buyers.
“Consumer” means a User who purchases Products for personal, non-commercial use, as defined under Section 2(7) of the Consumer Protection Act, 2019.
“Retailer” means a licensed business entity that purchases Products from MDPL or Kay Cee Chemists for resale, distribution, or stocking in a commercial establishment.
“Affiliate” means a User registered under the MDPL Affiliate Programme who earns commission by referring third parties to the Platform using unique tracking codes or links assigned by MDPL.
“Products” means all nutraceutical health supplements, pharmaceutical formulations, and wellness products manufactured by Merit Healthcare, branded and marketed under the MDPL brand, and distributed exclusively by Kay Cee Chemists, listed on the Platform, including but not limited to Cetcal Forte, Osteo Rich, Smalta Q10, Cetcal DHA, Smalta I, Cetcal Gold, Smalta, and any future products added to the portfolio.
“Order” means a purchase request submitted by a User through the Platform, constituting an offer to buy subject to acceptance by MDPL and fulfilment by Kay Cee Chemists.
“Contract” means the legally binding agreement formed between Kay Cee Chemists (as billing and fulfilment entity) and the User upon dispatch of the Product(s), on behalf of MDPL.
“Distribution Authority Agreement” means the written agreement dated between MDPL and Kay Cee Chemists, authorising Kay Cee Chemists as the sole and exclusive distributor and CFA of MDPL Products.
“Personal Information” means any data collected from a User as governed by the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
“Intellectual Property” means all trademarks, service marks, trade names, logos, brand names, designs, patents, copyrights, database rights, domain names, trade secrets, and all other intellectual and industrial property rights of MDPL, whether registered or unregistered.
“FSSAI” means the Food Safety and Standards Authority of India, the regulatory body governing nutraceutical and food supplement products under the Food Safety and Standards Act, 2006.
“Applicable Laws” means all laws, regulations, rules, orders, guidelines, circulars, and notifications in force in India applicable to the activities of MDPL, Kay Cee Chemists, and Users.
“Force Majeure Event” means any event beyond MDPL’s or Kay Cee Chemists’ reasonable control including acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government actions, power failures, or internet outages.
“Non-Returnable Products” means all Products listed on the Platform, classified as non-returnable by their nature as health supplements and consumable nutraceuticals, subject to the limited exceptions in Clause 8.
1A. RELATIONSHIP BETWEEN MDPL AND KAY CEE CHEMISTS — IMPORTANT DISCLOSURE
1A.1 Authorised Distributor
Mahaveera Drugs and Pharmaceutical Laboratories (‘MDPL’) is the brand owner, manufacturer-authoriser, and intellectual property owner of all Products listed on this Platform. MDPL has appointed Kay Cee Chemists, a proprietorship firm bearing, as its sole and exclusive authorised distributor and Carrying and Forwarding Agent (CFA) for all Products, effective 2nd August 2024, pursuant to a Distribution Authority Agreement executed between both parties on that date. The Products listed on this Platform are manufactured by Merit Healthcare and branded and marketed under the MDPL brand.
1A.2 Billing and Payment Collection
Pursuant to the Distribution Authority Agreement, Kay Cee Chemists is authorised to:
- Receive and process all payments from consumers, retailers, affiliates, and bulk buyers on behalf of MDPL
- Issue tax invoices bearing Kay Cee Chemists’ for all sales of MDPL Products, whether online or offline
- Distribute MDPL Products through online platforms, offline retail, wholesale channels, hospital pharmacies, and pharmacy chains
- Use MDPL’s brand name, trademarks, logos, and marketing materials for the purpose of promoting and selling MDPL Products, strictly in accordance with MDPL’s branding and packaging guidelines
1A.3 Brand Ownership Remains with MDPL
Notwithstanding the distribution and billing arrangement described in Clause 1A.2, all Intellectual Property in the Products and the brand — including but not limited to the MDPL name, logo, product names (Cetcal Forte, Osteo Rich, Smalta Q10, Cetcal DHA, Smalta I, Cetcal Gold, Smalta), formulations, and packaging — remains exclusively owned by MDPL. Kay Cee Chemists has no ownership rights in any MDPL Intellectual Property. Its authorisation to use MDPL’s brand is strictly limited to the purposes defined in the Distribution Authority Agreement and may be revoked by MDPL at any time.
1A.4 Product Liability
MDPL, as the brand owner and manufacturer-authoriser, accepts product liability in respect of manufacturing defects and formulation safety, in accordance with Section 84 of the Consumer Protection Act, 2019. Kay Cee Chemists, as the seller of record and billing entity, accepts liability in respect of delivery, invoicing, payment processing, and post-sale consumer interactions. Both parties’ liabilities are defined by their respective roles and the Distribution Authority Agreement between them.
1A.5 Consumer’s Right to Contact
You, as a consumer, have the right to contact either MDPL in respect of any complaint, query, or grievance relating to their respective areas of responsibility as described above.

2. COMPANY INFORMATION AND REGULATORY STANDING
This Platform is owned and operated by Mahaveera Drugs and Pharmaceutical Laboratories (‘MDPL’). All billing, payment collection, and distribution of Products listed on this Platform is carried out by Kay Cee Chemists, the sole authorised distributor and Carrying and Forwarding Agent (CFA) of MDPL, pursuant to a Distribution Authority Agreement. MDPL remains the brand owner and manufacturer-authoriser of all Products. Products are manufactured by Merit Healthcare.
MDPL and Kay Cee Chemists collectively operate in full compliance with:
- The Food Safety and Standards Act, 2006 and the FSS (Health Supplements, Nutraceuticals, Food for Special Dietary Use, Food for Special Medical Purpose, Functional Food and Novel Food) Regulations, 2016
- The Legal Metrology (Packaged Commodities) Rules, 2011
- The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020
- The Information Technology Act, 2000 and applicable Rules
- The Drugs and Cosmetics Act, 1940 (to the extent applicable)
- All other Applicable Laws governing the manufacture, labelling, advertisement, and sale of nutraceuticals in India

3. ACCEPTANCE OF TERMS, ELIGIBILITY, AND USER AGREEMENT
3.1 Acceptance
By accessing any part of this Platform, clicking “Proceed to Checkout”, “Place Order”, or any equivalent action, or by completing a purchase, you unconditionally and irrevocably agree to be bound by these Terms and Conditions, our Privacy Policy, our Shipping Policy, and our Return and Refund Policy, all of which are incorporated herein by reference. These documents collectively form the entire agreement between you, MDPL, and Kay Cee Chemists in relation to the Platform and the Products.
3.2 Eligibility
You represent and warrant that:
- You are at least 18 years of age and possess the legal capacity to enter into a binding contract under the Indian Contract Act, 1872
- You are not barred or disqualified from transacting on the Platform under any Applicable Law or court order
- If entering into these Terms on behalf of a legal entity, you have full authority to bind that entity
- All information provided during registration or purchase is true, accurate, current, and complete
3.3 Minor Users
The Platform is not directed at persons under 18 years of age. If MDPL or Kay Cee Chemists discovers that Personal Information has been collected from a minor without verifiable parental consent, both entities reserve the right to delete such information and cancel any associated orders without liability.
3.4 Updates to Terms
MDPL reserves the right to amend or replace these Terms at any time without prior notice. The revised Terms shall be posted on this page with an updated “Last Updated” date. Your continued use of the Platform following any modification constitutes your acceptance of the updated Terms.
4. PRODUCTS, REGULATORY CLASSIFICATION, AND HEALTH CLAIMS
4.1 Product Classification
All Products sold through this Platform are classified as health supplements and/or nutraceuticals under the Food Safety and Standards (Health Supplements, Nutraceuticals, Food for Special Dietary Use, Food for Special Medical Purpose, Functional Food and Novel Food) Regulations, 2016. Products are manufactured by Merit Healthcare, branded and marketed under the MDPL brand, and distributed exclusively by Kay Cee Chemists. Products are manufactured at CGMP-compliant facilities and carry valid FSSAI authorisation as applicable to each product.
4.2 Critical Medical Disclaimer
MDPL’s Products are DIETARY SUPPLEMENTS and NUTRACEUTICALS. They are NOT medicines, drugs, or therapeutic agents. They are NOT intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition. These Products are labelled “NOT FOR MEDICINAL USE” in compliance with FSSAI Regulations 2016. Any health benefit associated with the ingredients is based on general nutritional science and does not constitute a medical claim.
Users are expressly advised that:
- MDPL’s Products must not be used as a substitute for prescribed medication or medical treatment
- If you have a pre-existing medical condition, are pregnant, lactating, or taking prescription medication, consult a qualified medical practitioner before use
- MDPL’s Products are not suitable for children under 18 years of age unless otherwise stated on the label
- If you experience any adverse reaction, discontinue use immediately and seek medical attention. Report the reaction to connect@mdpl.co.in
- Consumption recommendations represent general dietary supplement guidance and are not individualised medical advice
4.3 Health Claims Policy
All health-related statements made by MDPL regarding its Products are nutritional or health claims based on the general properties of the active ingredients, in accordance with FSSAI-permissible claims under the FSS Regulations 2016. MDPL does not make disease risk-reduction claims or therapeutic claims without prior approval from the Food Authority. Where scientific literature is referenced, such references are for informational purposes only and do not constitute medical advice.
4.4 Product Availability and Changes
MDPL reserves the right to modify, discontinue, or restrict the availability of any Product without prior notice. If a Product becomes unavailable after Order placement, Kay Cee Chemists shall notify the User and issue a full refund on behalf of MDPL.
5. ORDERING PROCESS, CONTRACT FORMATION, AND PRICING
5.1 Invitation to Offer
All Products displayed on this Platform, along with their prices and descriptions, constitute an invitation to offer (invitatio ad offerendum) and do not constitute a binding offer by MDPL or Kay Cee Chemists. The placement of an Order by a User constitutes an offer by the User to purchase the Product(s) subject to these Terms.
5.2 Contract Formation
A binding Contract between Kay Cee Chemists (acting as the authorised distributor and billing entity on behalf of MDPL) and the User is formed only upon:
- Kay Cee Chemists dispatching the Product(s) and communicating dispatch confirmation via email or SMS on behalf of MDPL; or
- An express written acceptance of the Order being issued on behalf of MDPL
No act, omission, or communication prior to actual dispatch shall constitute acceptance. Automated order confirmation emails acknowledge receipt only and do not constitute acceptance.
5.3 Pricing
All prices on the Platform are inclusive of all applicable taxes including GST, unless expressly stated otherwise. Prices are displayed in Indian Rupees (INR) and represent the Maximum Retail Price (MRP) as printed on product packaging. International prices shown to non-Indian visitors are indicative estimates based on live exchange rates and exclude applicable customs duties, import taxes, and local taxes in the destination country. MDPL reserves the right to modify prices at any time without notice. In the event of a pricing error, the Order may be: (a) cancelled and the User refunded; or (b) the User contacted with the corrected price and given the option to proceed or cancel.
5.4 Quantity Restrictions and Bulk Orders
MDPL and Kay Cee Chemists together reserve the right to limit quantities purchased per person, household, or address. Orders determined to be Bulk Orders for commercial resale without prior Retailer authorisation may be cancelled. Indicators include multiple orders for identical products at the same address, quantities exceeding personal consumption, or orders from multiple accounts on the same device or IP address.
5.5 Right to Refuse or Cancel
MDPL and Kay Cee Chemists reserve the right to refuse, limit, cancel, or reject any Order, including due to:
- Product unavailability
- Suspected fraudulent or unlawful activity
- Inability to verify User identity or payment
- Incomplete, false, or inaccurate Order information
- Non-serviceability of the delivery address
- Force Majeure Events
6. PAYMENT TERMS, MODES, AND SECURITY
6.1 Accepted Payment Methods
- Unified Payments Interface (UPI)
- Credit Cards and Debit Cards (Visa, Mastercard, RuPay)
- Net Banking
- Digital Wallets (as available through the payment gateway)
- Cash on Delivery (COD) — available within India, subject to a nominal handling charge and serviceability of the delivery pin code. COD is not available for international orders.
6.2 Payment Collection and Security
All payments for MDPL Products — whether online or offline — are collected by Kay Cee Chemists , the sole authorised payment collection agent of MDPL, pursuant to the Distribution Authority Agreement. Online payments are further processed through third-party payment gateways. Neither MDPL nor Kay Cee Chemists stores, accesses, or processes your card details, CVV, or banking credentials directly. All payment data is transmitted using industry-standard SSL/TLS encryption. Neither MDPL nor Kay Cee Chemists shall be liable for any loss or unauthorised access arising from operations or security breaches of third-party payment processors.
6.3 Cash on Delivery (COD) Terms
COD orders are subject to:
- A non-refundable COD handling charge as displayed at checkout
- The User’s obligation to have exact payment ready at the time of delivery
- The right to cancel COD orders in areas where reliable delivery is unavailable
- The right to restrict COD for Users with a history of COD refusals or fraudulent orders
6.4 Failed Payments
In the event of payment failure, the Order shall not be processed. If an amount has been deducted but the Order is unconfirmed, allow 5–7 business days for automatic reversal by your bank. If reversal does not occur, contact connect@mdpl.co.in with your transaction reference number.
7. SHIPPING, DELIVERY, AND RISK OF LOSS
7.1 Domestic Shipping (India)
MDPL Products are shipped Pan-India by Kay Cee Chemists through reputable logistics partners. Standard timelines:
- Order processing and dispatch: 1–4 business days from Order confirmation (excluding Sundays and public holidays)
- Estimated delivery — Metro cities: 3–5 business days post-dispatch
- Estimated delivery — Tier II/III cities and towns: 5–10 business days post-dispatch
Neither MDPL nor Kay Cee Chemists shall be liable for delivery delays due to: (a) inaccurate or incomplete addresses; (b) the User’s unavailability at the delivery address; (c) third-party courier disruptions; (d) natural calamities or Force Majeure Events; (e) restrictions on inter-state movement in certain states.
7.2 International Shipping
MDPL Products are shipped internationally by Kay Cee Chemists from India, subject to the following conditions:
- Products are shipped from India via reputable international courier
- The customer is solely responsible for all customs duties, import taxes, and local levies applicable in the destination country. Neither MDPL nor Kay Cee Chemists prepays, estimates, or guarantees customs charges in any jurisdiction
- Specific international delivery timelines are not guaranteed as they depend on customs clearance in the destination country
- Neither MDPL nor Kay Cee Chemists shall be liable for product confiscation, seizure, or destruction by customs authorities
- International prices are indicative and based on live exchange rates. Final billing occurs in INR. Currency conversion fees charged by your bank are solely your responsibility
- The right to restrict international shipping to specific countries is reserved without prior notice
7.3 Risk and Title Transfer
Risk of loss and damage to Products transfers to the User upon dispatch from the warehouse or storage facility of Kay Cee Chemists, the authorised CFA and distributor of MDPL. Neither MDPL nor Kay Cee Chemists accepts responsibility for Products after successful handover to the courier partner, except where gross negligence of either party has contributed to the loss.
7.4 Order Tracking
Upon dispatch, the User shall receive a consignment tracking number and courier partner details via registered email and/or phone. Neither MDPL nor Kay Cee Chemists is responsible for the accuracy of tracking information on third-party courier websites.
8. RETURN, REFUND, AND REPLACEMENT POLICY
ALL PRODUCTS SOLD ON THIS PLATFORM ARE NON-RETURNABLE. Returns are strictly limited to the exceptional circumstances described in Clause 8.1 below. Neither MDPL nor Kay Cee Chemists accepts returns on the grounds of change of mind, taste preference, or dissatisfaction with results.
8.1 Grounds for Accepted Returns or Replacements
A return, replacement, or refund will be processed only in the following circumstances, subject to verification:
- Damaged in Transit: The Product received is visibly damaged due to mishandling during shipping. Photographic evidence with the outer packaging intact must be provided
- Manufacturing Defect: The Product has a confirmed manufacturing defect including broken seals, contamination, or physical defects. Batch number and photographic evidence must be provided
- Wrong Product Delivered: A Product different from the one ordered has been dispatched
8.2 Timeline for Reporting

Claims submitted outside these timelines will not be processed under any circumstances.
8.3 Return Process
- Email connect@mdpl.co.in (MDPL) with subject or message: “Return Request — Order #[Your Order Number]”. Having your invoice ready will expedite the process
- Include: your full name, registered phone number, Order number, invoice, clear photographs of the product, packaging, and defect or damage, and the batch number from the packaging
- The Customer Service team will verify the claim within 3–5 business days
- Upon validation, pickup of the Product will be arranged at no cost to the User
- Replacement will be dispatched (subject to stock availability), or a full refund will be processed upon receipt and inspection of the returned Product
8.4 Conditions for Valid Returns
The returned Product must be:
- In its original packaging, unopened or minimally opened only for defect identification
- Accompanied by all original components and documentation
- Not consumed, used, or tampered with beyond what is necessary to identify the defect
8.5 Refund Processing Timelines

Timelines may vary depending on the User’s bank. Neither MDPL nor Kay Cee Chemists is responsible for delays caused by the User’s financial institution.
8.6 Order Cancellation by User
Users may cancel an Order only before dispatch from Kay Cee Chemists’ warehouse. Once dispatched, an Order cannot be cancelled. Cancellation requests must be sent to connect@mdpl.co.in with the Order number. Refunds for pre-dispatch cancellations are processed within 5–7 business days.
8.7 Order Cancellation by MDPL or Kay Cee Chemists
MDPL and Kay Cee Chemists jointly reserve the right to cancel any Order, including after dispatch, without assigning reasons, subject to a full refund. Circumstances include stock unavailability, pricing errors, suspected fraud, delivery infeasibility, or regulatory restrictions.
9. RETAILER AND BUSINESS-TO-BUSINESS (B2B) TERMS
9.1 Retailer Qualification
Entities purchasing as Retailers must complete MDPL’s Retailer Registration through Kay Cee Chemists, including submission of: (a) valid GST Registration Certificate; (b) Trade Licence or Shops and Establishment Registration; (c) Drug Licence if applicable; (d) bank details for account verification; and (e) execution of MDPL’s Retailer Agreement where applicable.
9.2 Wholesale Pricing and Minimum Orders
Wholesale pricing is available only to verified and approved Retailers. All wholesale transactions are billed by Kay Cee Chemists under their GSTIN. Wholesale prices are confidential and must not be disclosed to third parties or published online. Minimum order quantities (MOQ) apply and are communicated during Retailer onboarding.
9.3 Retailer Obligations
Retailers agree to:
- Sell MDPL Products only in their original, unaltered packaging with all FSSAI-mandated labelling intact
- Not remove, alter, obscure, or deface any product label including FSSAI licence numbers, batch numbers, and expiry dates
- Not sell MDPL Products past their expiry date
- Store Products in accordance with storage conditions specified on product packaging
- Not represent MDPL Products as medicines, drugs, or therapeutic treatments
- Comply with all Applicable Laws governing the retail sale of health supplements in their state and territory
- Not sell MDPL Products on third-party online marketplaces (including Amazon, Flipkart, 1mg, or equivalent) without MDPL’s and Kay Cee Chemists’ prior express written consent
9.4 Termination of Retailer Relationship
MDPL and Kay Cee Chemists together reserve the right to terminate the Retailer relationship, cancel pending orders, and revoke wholesale pricing with immediate effect upon: breach of any Retailer obligation, conduct damaging to MDPL’s brand, insolvency or dissolution of the Retailer entity, or any fraudulent or unlawful activity.
10. AFFILIATE PROGRAMME TERMS AND CONDITIONS
10.1 Programme Overview
MDPL operates a tiered affiliate marketing programme through which registered Affiliates earn commission on sales generated through their unique referral codes or links. All affiliate sales are fulfilled and billed by Kay Cee Chemists on behalf of MDPL. Participation is subject to these Terms and the Affiliate Programme guidelines published on the Platform.
10.2 Registration and Approval
Any individual aged 18 or older, or any legal entity, may apply to the Affiliate Programme. MDPL reserves the right to approve or reject any application at its sole discretion without assigning reasons. Approval does not create any employment, agency, partnership, joint venture, or fiduciary relationship between the Affiliate and MDPL or Kay Cee Chemists.
10.3 Commission Structure
Commissions are calculated as a percentage of the net invoice value (excluding GST, shipping charges, and COD fees) of qualifying sales billed. The applicable commission rate for each Affiliate is determined by MDPL at the time of registration and is communicated to the Affiliate individually via their registered email address or through their Affiliate dashboard upon approval. The commission structure, including applicable tiers, rates, and qualifying criteria, is governed by the Affiliate Programme Agreement issued separately to each registered Affiliate by MDPL. The Affiliate Programme Agreement forms part of the contractual relationship between MDPL and the Affiliate and is binding upon acceptance. MDPL reserves the right to modify the commission structure at any time with 30 days’ written notice to active Affiliates. Any modification will not affect commissions already accrued on qualifying sales prior to the date of modification.
10.4 Qualifying Sales and Tracking
A sale qualifies for commission only when: (a) it is completed and fully paid; (b) the 30-day cancellation window has expired without return or cancellation; and (c) it was generated via the Affiliate’s unique tracking link or code. Sales generated through manipulated cookies, fraudulent traffic, or in breach of these Terms do not qualify.
10.5 Commission Payout
Commissions are calculated monthly and paid within 15 business days following the end of each calendar month, subject to a minimum payout threshold of ₹500. Payment is via NEFT/IMPS or UPI to the Affiliate’s verified account.
10.6 Affiliate Prohibited Conduct
Affiliates shall not:
- Make false, misleading, or exaggerated claims about MDPL’s Products, including therapeutic or disease-cure claims
- Purchase Products through their own affiliate codes (self-dealing — results in immediate account termination with forfeiture of pending commissions)
- Generate artificial traffic through bots, click farms, or automated systems
- Use MDPL’s Intellectual Property without prior written authorisation from MDPL
- Engage in spam, unsolicited communications, or deceptive advertising
- Promote MDPL Products in contexts that are offensive, illegal, or damaging to MDPL’s or Kay Cee Chemists’ reputation
- Claim to be an employee, representative, or official spokesperson of MDPL or Kay Cee Chemists
10.7 Disclosure Obligation
In accordance with the Advertising Standards Council of India (ASCI) Guidelines and the Consumer Protection Act, 2019, Affiliates must clearly disclose their affiliate relationship with MDPL when promoting Products on any public medium. Failure to disclose is grounds for immediate termination.
10.8 Termination of Affiliate Account
MDPL may terminate an Affiliate’s account immediately for: violation of these Terms, fraudulent activity, legal non-compliance, or conduct detrimental to MDPL’s brand. Earned commissions on completed qualifying sales will be paid on the next scheduled payout date. No further commissions shall accrue after termination.
11. INTELLECTUAL PROPERTY RIGHTS
11.1 MDPL’s Intellectual Property
All content on this Platform is the exclusive Intellectual Property of MDPL or its licensors, including but not limited to: the MDPL brand name and logo; product names including Cetcal Forte, Osteo Rich, Smalta Q10, Cetcal DHA, Smalta I, Cetcal Gold, Smalta, and upcoming products ; website design, layout, and interface; product descriptions, ingredient formulations, and scientific content; images, graphics, and videos; and all underlying source code and databases.
Kay Cee Chemists has been granted a limited, non-exclusive, non-transferable licence to use MDPL’s Intellectual Property strictly for the purposes of distribution, billing, and promotion of MDPL Products as defined in the Distribution Authority Agreement. This licence does not confer any ownership rights on Kay Cee Chemists.
This Intellectual Property is protected under:
- The Copyright Act, 1957 (India)
- The Trade Marks Act, 1999 (India)
- The Patents Act, 1970 (India), as applicable
- The Information Technology Act, 2000
- All applicable international intellectual property treaties and conventions to which India is a signatory
11.2 Limited Licence to Users
MDPL grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes only. This licence does not permit you to:
- Reproduce, distribute, publicly display, or create derivative works from any MDPL content
- Reverse-engineer, decompile, or extract source code from any part of the Platform
- Use MDPL’s trademarks, brand names, or product names in your own marketing without prior written consent from MDPL
- Scrape, crawl, or extract data from the Platform using automated tools
11.3 Reporting Infringement
If you believe any content on the Platform infringes your Intellectual Property rights, notify MDPL at connect@mdpl.co.in with: (a) identification of the work claimed to be infringed; (b) identification of the infringing material; (c) your contact information; and (d) a declaration that the complaint is made in good faith.
12. PRIVACY, DATA PROTECTION, AND PERSONAL INFORMATION
12.1 Data Collection
MDPL collect and process Personal Information in accordance with MDPL’s Privacy Policy and in compliance with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023 (to the extent notified and applicable). Personal Information collected includes: name, contact details, delivery address, payment information (processed by payment gateway), order history, browsing behaviour, and device/technical information. Neither MDPL sells, leases, or commercially exploits your Personal Information to third parties.
12.2 Data Usage
MDPL use Personal Information for: Order processing and fulfilment; Customer service and grievance redressal; Marketing communications (with opt-in consent); Product improvement and analytics; Legal compliance and fraud prevention; and Affiliate commission tracking.
12.3 Your Rights
You have the right to: access the Personal Information held about you; request correction of inaccurate data; withdraw consent for marketing communications at any time; and request deletion of your account, subject to legal retention obligations.
12.4 Cookies
The Platform uses cookies and tracking technologies to enhance user experience, analyse traffic, and support affiliate tracking. By using the Platform, you consent to cookies in accordance with MDPL’s Cookie Policy. You may manage cookies through your browser settings.
13. PROHIBITED CONDUCT AND PLATFORM USE RESTRICTIONS
Users are strictly prohibited from:
- Using the Platform for any unlawful, fraudulent, or deceptive purpose
- Impersonating any person or entity or misrepresenting affiliation with any person or entity
- Submitting false, incomplete, or misleading information during registration, ordering, or any inquiry
- Using automated bots, scrapers, crawlers, or similar tools to access, extract, or compile data from the Platform
- Attempting to gain unauthorised access to any part of the Platform, its servers, or connected systems
- Transmitting viruses, malware, ransomware, or any other harmful code
- Interfering with or disrupting the integrity or performance of the Platform
- Collecting or harvesting Personal Information of other Users from the Platform
- Placing Orders for commercial resale without prior authorisation as a verified Retailer
- Using MDPL’s Intellectual Property without prior written authorisation from MDPL
- Posting content that is defamatory, obscene, hateful, or violates any third-party rights
- Engaging in any activity that creates civil or criminal liability for MDPL or Kay Cee Chemists
MDPL and Kay Cee Chemists reserve the right to suspend or permanently terminate any User account engaged in prohibited conduct without notice and without liability.
14. DISCLAIMERS, WARRANTIES, AND LIMITATION OF LIABILITY
14.1 Platform Disclaimer
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MDPL EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
14.2 Product Disclaimer
MDPL warrants that its Products comply with applicable FSSAI regulations at the time of manufacture and packaging. Kay Cee Chemists warrants that Products are stored and dispatched in accordance with the conditions specified by MDPL. However, MDPL does not warrant that Products will produce specific results for any individual. Individual responses to nutraceutical supplementation vary.
14.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE INDIAN LAW, THE TOTAL AGGREGATE LIABILITY OF MDPL AND KAY CEE CHEMISTS COLLECTIVELY TO ANY USER FOR ANY CLAIM ARISING OUT OF THESE TERMS, THE PLATFORM, OR ANY PRODUCT SHALL NOT EXCEED THE INVOICE VALUE OF THE SPECIFIC ORDER GIVING RISE TO THE CLAIM. NEITHER MDPL NOR KAY CEE CHEMISTS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.
14.4 Third-Party Links
The Platform may contain links to third-party websites. Neither MDPL nor Kay Cee Chemists has control over these platforms and accepts no responsibility for their content, policies, or practices. Accessing third-party links is at your own risk.
15. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless MDPL, Kay Cee Chemists, and their respective directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms and Conditions
- Your violation of any Applicable Law or regulation
- Your infringement of any third-party right including Intellectual Property or privacy rights
- Any fraudulent, deceptive, or unlawful activity committed by you through the Platform
- Any content submitted or transmitted by you on or through the Platform
- Any misuse of MDPL’s Products contrary to labelled instructions or these Terms
MDPL and Kay Cee Chemists reserve the right to assume exclusive control of any matter subject to indemnification, in which case you agree to cooperate fully.
16. GRIEVANCE REDRESSAL MECHANISM
In compliance with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, both MDPL and Kay Cee Chemists are available to address User complaints within their respective areas of responsibility.

17. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION
17.1 Governing Law
These Terms and Conditions, and any dispute arising out of or in connection with them, the Platform, or any Product purchased through the Platform, shall be governed by and construed in accordance with the laws of the Republic of India.
17.2 Jurisdiction
Subject to Clause 17.3 below, the courts of New Delhi, India shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms or any transaction on the Platform. All Users — whether located within or outside India — irrevocably consent to this exclusive jurisdiction.
17.3 Arbitration
Any dispute that cannot be resolved through the internal grievance mechanism within 30 days shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be:
- Conducted by a single arbitrator mutually agreed upon or appointed under the Act
- Held in New Delhi, India
- Conducted in the English language
- Subject to Indian substantive law
Each party shall bear its own costs unless the arbitrator directs otherwise. The award shall be final, binding, and enforceable in any court of competent jurisdiction.
17.4 Consumer Forum Rights Preserved
Nothing in this Clause shall deprive any Consumer of the right to approach any Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019. The arbitration clause does not override statutory consumer rights.
18. FORCE MAJEURE
Neither MDPL nor Kay Cee Chemists shall be liable for any failure or delay in performing obligations to the extent caused by a Force Majeure Event including: natural disasters, earthquakes, floods, fire; epidemic, pandemic, or public health emergency; war, terrorism, civil unrest, government actions, or embargo; disruption to internet infrastructure, telecommunications, or payment systems; or supplier and logistics failures beyond reasonable control.
Upon occurrence of a Force Majeure Event, the User shall be notified as soon as reasonably practicable. If the event continues for more than 30 days, either party may terminate the affected Order by written notice and a full refund will be processed for amounts already paid.
19. GOODS AND SERVICES TAX (GST) AND TAXATION
Since Kay Cee Chemists is the sole authorised distributor and billing entity for MDPL Products, all tax invoices issued to consumers will bear Kay Cee Chemists’ GSTIN This is in accordance with the Distribution Authority Agreement between MDPL and Kay Cee Chemists. MDPL is the brand owner and manufacturer-authoriser; Kay Cee Chemists is the seller of record for GST purposes. All prices displayed on the Platform are inclusive of Goods and Services Tax (GST) at the applicable rate under the Central Goods and Services Tax Act, 2017 and the Integrated Goods and Services Tax Act, 2017. International buyers are solely responsible for all import duties, customs levies, and local taxes in their country of delivery destination. Neither MDPL nor Kay Cee Chemists collects, remits, or bears responsibility for taxes outside the Republic of India. Affiliates are solely responsible for declaring and paying income tax on commission income under the Income Tax Act, 1961. Applicable TDS will be deducted and Form 16A or equivalent documentation will be provided.
20. MISCELLANEOUS PROVISIONS
20.1 Entire Agreement. These Terms and Conditions, together with the Privacy Policy, Shipping Policy, Return and Refund Policy, and any separately executed Affiliate or Retailer Agreement, constitute the entire agreement between MDPL, Kay Cee Chemists, and the User and supersede all prior agreements, representations, and understandings.
20.2 Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
20.3 Waiver. Failure by MDPL or Kay Cee Chemists to enforce any right or provision shall not constitute a waiver. Any waiver must be in writing and signed by an authorised representative of the relevant entity.
20.4 Assignment. MDPL may assign these Terms or its rights and obligations to any affiliate, successor, or acquirer without prior notice. Kay Cee Chemists may not assign its distribution rights under the Distribution Authority Agreement without MDPL’s prior written consent. Users may not assign their rights without MDPL’s prior written consent.
20.5 Notices. All legal notices to MDPL must be sent to connect@mdpl.co.in. Notices to Users will be sent to the email address or phone number registered on the Platform.
20.6 Language. These Terms are drafted in English and shall be interpreted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
20.7 Relationship of Parties. Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between MDPL, Kay Cee Chemists, and any User, Retailer, or Affiliate beyond what is expressly stated. No User has authority to bind MDPL or Kay Cee Chemists in any way.
